The Board has properly left to institutional administrations broad responsibilities for development of internal policies and procedures for the conduct and management of affairs not specifically addressed by Board Policy or Board Rules. Institutions under the governance of the Board are encouraged and expected to go beyond the policies and procedures contained in Board Rules and Policies in the development of an articulated and comprehensive policy structure governing the conduct of institutional affairs.
Certain institutionally specific policies have in the past been presented to the Board for approval. Any revisions or amendments to these policies will require similar Board approval. Other institutional policies developed in the future may be of such significance as to justify, or may legally require, adoption as a Board Policy or Rule or, at least, specific Board approval. Decisions concerning the appropriateness of submission of any such policy by institutional administrations to the Board for approval or for adoption as Board Policy or Rule should be made after consultation with the Chief Executive Officer and General Counsel and, where they deem appropriate, the Board Chairman and/or a committee of the Board.
Copies of all internal institutional policies shall be maintained on file in the Board Office and any such policies receiving Board approval should contain a specific provision requiring Board approval of any amendments or revisions.
